Contract terms

Terms and conditions.

These terms govern the website creation and aftercare subscription offered by Keystone Studio. They form part of every accepted quote. This translation is provided for convenience; the French version prevails.

1. Service provider

  • Valentin Louis, sole trader, trading as Keystone Studio (“Keystone Studio”)
  • Address: Hoogstraat 108, 1650 Beersel, Belgium
  • Email: [email protected]
  • Company number (CBE): 1044.449.577 — VAT BE 1044.449.577, special exemption scheme for small businesses (Article 56bis of the Belgian VAT Code)

2. Scope

These terms apply to all Keystone Studio services: website creation and redesign, launch, aftercare subscription and on-demand changes. The client is the person or business that accepts a quote.

If they conflict, the accepted quote prevails over these terms. The client’s own terms and conditions do not apply unless Keystone Studio agrees in writing.

Some rules apply only to consumer clients, i.e. individuals acting for purposes outside their trade, business or profession. They are marked as such. Nothing in these terms limits the rights that the law guarantees to consumers.

3. Quotes and conclusion of the contract

Quote requests are free and without obligation. Prices shown on the website are indicative: only the quote sets the price of a service. Unless stated otherwise, a quote is valid for 30 days.

The contract is concluded when the client accepts the quote in writing (signature or confirmation email). This acceptance includes acceptance of these terms, which are provided with the quote. Work begins only once the deposit has been paid.

4. Prices and payment

Prices are in euros. As Keystone Studio falls under the special VAT exemption scheme for small businesses, no VAT is charged.

  • Creation or redesign: a 50% deposit on acceptance of the quote, then the remaining 50% after the client’s final approval of the website, before launch.
  • Aftercare subscription: €29 per month, billed €87 per quarter, payable in advance at the start of each quarter.
  • On-demand changes: €50 per hour, for the time actually spent, based on an estimate approved by the client.

Unless the invoice states another term, invoices are payable within 14 days of being sent. Fees for third-party services registered in the client’s name (domain name and, where applicable, hosting or paid services) are paid by the client directly to those providers.

5. Creation process

After discussing the project, Keystone Studio designs a mock-up that the client approves before development begins. Two rounds of changes are included during creation, whatever the package; a round groups all of the client’s feedback in a single submission. Additional changes are billed at the hourly rate, with the client’s agreement.

Timelines are indicative and depend on the client providing content (texts, images, logo, access). If the client does not provide the requested items or stops responding for three months despite a written reminder, Keystone Studio may close the project. The work already done is then billed in proportion to progress, less the deposit; any part of the deposit exceeding that amount is refunded. The project can be resumed later on a new schedule.

6. Approval, launch and handover of the code

The client expressly approves the final version of the website. The balance is then invoiced, and the website is launched once it has been paid.

The website is launched in the client’s name, on the client’s own accounts: the domain name is registered in the client’s name with a registrar (OVHcloud by default) and the website is hosted on the client’s own hosting account (Cloudflare by default). The client opens these accounts, accepts these providers’ terms and pays any fees directly. The client gives Keystone Studio the access needed during creation and, where applicable, during the subscription, and may withdraw it at any time.

On launch, Keystone Studio hands over the website’s complete source code to the client.

7. Aftercare subscription (optional)

The client may take out an aftercare subscription when the website is delivered or later. It includes one change per month (a new feature, a design tweak, a content update…), within one hour of work. Requests are made by email; Keystone Studio carries them out within a reasonable time, which it communicates to the client.

If a request exceeds one hour of work, Keystone Studio informs the client before starting and offers to spread it over several months or to bill the extra time at the hourly rate. Major developments (online shop, booking system, members’ area…) are quoted separately. The included change does not carry over: a month without a request gives no right to an extra change the following month, nor to a refund.

The subscription is concluded for one quarter (three months) from the date it is taken out. It then renews automatically for successive one-quarter periods unless terminated. A business client may terminate it at any time by email, effective at the end of the current quarter; the quarter already started remains payable.

Consumer client: after the first renewal, the consumer may terminate the subscription at any time, without compensation, effective at the end of the current month. The amount already paid for the following months is refunded within 14 days. No later than 15 days before the first renewal, Keystone Studio reminds the consumer by email of the renewal date and of the option to object to it.

Any change to the subscription price is announced at least one month before the start of the quarter to which it applies; the client may then terminate before it takes effect. When the subscription ends, the website stays online on the client’s accounts, the client keeps its code, and Keystone Studio gives up the access it was granted.

8. Right of withdrawal (consumers)

Where the contract is concluded at a distance (by email, phone or online) or off-premises, a consumer client has 14 days from the conclusion of the contract to withdraw from it, without giving any reason. This right applies to both the creation contract and the aftercare subscription.

To exercise it, the consumer simply sends Keystone Studio a clear statement by email or post before the period expires. The model withdrawal form in the annex may be used but is not required. Keystone Studio refunds all payments received within 14 days of the withdrawal, using the same means of payment.

If the consumer expressly requests that the service begin during the withdrawal period, they pay, if they withdraw, an amount proportionate to what has been provided up to that point. If they gave this express consent and acknowledged that they lose the right of withdrawal once the contract has been fully performed, the right of withdrawal ends when the service has been fully performed.

9. Intellectual property

Upon full payment of the price, Keystone Studio assigns to the client, exclusively, the economic copyrights it holds in the elements created specifically for the client: the website’s design, its source code and the texts written by Keystone Studio. The assignment covers the reproduction, communication to the public (including online), adaptation, modification and distribution of these elements, in any medium, worldwide and for the full legal term of protection. Its price is included in the price of the creation.

The following are excluded from the assignment: Keystone Studio’s general tools, methods and know-how, and third-party elements (open-source software libraries, typefaces, stock images…), which the client uses under their own licences. Until the price has been paid in full, the client has only a provisional right of use, limited to reviewing the website.

Unless the client objects in writing, Keystone Studio may show the website in its portfolio and prospecting materials (screenshots, link, project description). A “Website by Keystone Studio” credit is added to the website only with the client’s consent.

10. Client obligations

The client provides accurate and lawful content and warrants that it holds the necessary rights to the texts, images, logos and trademarks it supplies. The client indemnifies Keystone Studio against any third-party claim in this respect.

As publisher of its website, the client remains responsible for its content and its legal obligations (legal notice, privacy policy, cookies, rules specific to its sector). Keystone Studio can help prepare them, without replacing legal advice. The client keeps its accounts secure and ensures its domain name is renewed.

11. Warranty

For 30 days after launch, Keystone Studio fixes free of charge any malfunctions resulting from its work. These fixes are not counted against the subscription. The warranty does not cover changes made by the client or a third party, changes imposed by the client’s providers, or new requests.

For consumer clients, this warranty is in addition to the legal guarantee of conformity, which remains fully applicable.

12. Liability

Keystone Studio performs its services with care, under an obligation of means. It is not liable for interruptions or failures of third-party services chosen by the client or used for its website (registrar, host, form service, email…).

Towards business clients, Keystone Studio is not liable for indirect damage (loss of turnover, customers or data, damage to reputation), and its total liability is limited to the amounts paid by the client for the service concerned over the previous twelve months.

These limitations do not apply in case of fraud, intentional misconduct or gross negligence, or where the law prohibits them, in particular towards consumers.

13. Late payment

In case of late payment, Keystone Studio may, after an unanswered reminder, suspend its services until payment is made.

Business client: any amount unpaid on the due date automatically bears interest, without notice, at the rate set by the Belgian Act of 2 August 2002 on combating late payment in commercial transactions. A fixed compensation of €40 for recovery costs is also due, without prejudice to any additional reasonable and justified recovery costs.

Consumer client: Keystone Studio first sends a free reminder giving the client 14 days to pay. This period starts on the day after the reminder is sent by email, or on the third working day after it is sent by post. If the amount remains unpaid when this period expires, the following are due: late-payment interest at the rate set by the aforementioned Act of 2 August 2002, and a fixed compensation of €20 if the amount due does not exceed €150; €30 plus 10% of the amount due between €150.01 and €500; €65 plus 5% of the part of the amount due exceeding €500, up to a maximum of €2,000.

If Keystone Studio fails to refund on time an amount owed to a consumer client, the consumer may claim the same interest and the same fixed compensation under the same conditions.

14. Personal data

Keystone Studio processes the data of its clients and prospects in accordance with its privacy policy.

Where, for the creation or aftercare of the website, Keystone Studio accesses personal data for which the client is responsible (for example messages received through its website’s form), it acts as a processor within the meaning of the GDPR. It then processes this data only on the client’s instructions and for the purposes of the assignment, ensures its confidentiality and security, does not pass it on to any third party (including development assistance tools) beyond what the assignment requires, helps the client respond to data subjects’ requests, and deletes or returns the data at the end of the assignment.

15. Confidentiality

Each party keeps confidential the non-public information it receives from the other under the contract, for its entire term and for two years after it ends.

16. Force majeure

Neither party is liable for a delay or failure to perform caused by an event beyond its control that is unforeseeable and insurmountable. Deadlines are then extended by the duration of that event. If it lasts more than two months, either party may terminate the contract; services already provided remain payable.

17. Miscellaneous

If a clause is declared void, the others remain applicable. Keystone Studio may amend these terms; the new terms apply to contracts concluded after their publication and, for an ongoing subscription, from the following quarter, after informing the client at least one month in advance. The client may then terminate the subscription before they take effect.

These terms exist in French, English, Dutch and German. In case of discrepancy, the French version prevails.

18. Governing law and disputes

The contract is governed by Belgian law. The parties first seek an amicable solution: any complaint may be sent to [email protected].

A consumer client may also contact the Consumer Mediation Service free of charge, North Gate II, Boulevard du Roi Albert II 8 box 1, 1000 Brussels — www.mediationconsommateur.be.

Failing agreement, disputes with a business client fall under the jurisdiction of the courts of the judicial district of Brussels. Disputes with a consumer client fall under the jurisdiction of the court competent under the statutory rules.
